Noble Jets Charter Broker Agreement

Terms & Conditions · Noble And Company LLC d/b/a Noble Jets

Noble Jets is an air charter broker, not a direct air carrier. We do not operate aircraft. Every flight is operated by an FAA-certificated direct air carrier that holds operational control and is named on your Flight Confirmation.

This Charter Broker Agreement (these "Terms") applies to every flight you book with Noble Jets. Each trip also has its own Flight Confirmation, which you accept before paying. Please read Sections 6, 7 and 12 closely: they cover payment, cancellation and the limits of our liability.

1.Who we are and how these Terms work

1.1 Parties. "Noble Jets," "we" and "us" mean Noble And Company LLC, a Texas limited liability company doing business as Noble Jets. "You" and "Client" mean the person or company named on the Flight Confirmation, a signed copy of these Terms, or a Client Account Setup. If you book for a company, you confirm you are authorized to bind it, and the company is the Client.

1.2 What makes up the contract. For each trip, the contract is: (a) the Flight Confirmation, (b) the Noble Jets Cancellation Policy, which is the same for every trip, and (c) these Terms. If they conflict, that order controls. Rights you have under federal law that cannot be waived always control over all three.

1.3 Accepting. You accept these Terms and the Cancellation Policy for a trip when you tick "I agree" on our payment page, reply "I accept" by email, or sign by DocuSign. Each of these counts the same as a handwritten signature. If you sign these Terms by DocuSign, or sign a Client Account Setup, that signature covers every trip you book with us until either side ends these Terms under Section 16.8.

1.4 Which version applies. The version of these Terms in effect on the date you accept a Flight Confirmation applies to that trip. Later changes never apply to a trip already booked. We will email you any new version at least 14 days before it applies to new bookings.

1.5 Who can book for you. The people you name as authorized bookers, on a Client Account Setup or by email to fly@noblejets.net (for example, an executive assistant), may request quotes and accept Flight Confirmations for you. An acceptance sent from their email address binds you. You may change the list at any time by email.

2.Key words

3.Our role

3.1 We are a broker, not an airline. Noble Jets is an air charter broker. We are not a direct air carrier. We do not own, operate, crew, maintain or control any aircraft. Your flight is operated by a properly licensed direct air carrier named on your Flight Confirmation.

3.2 Our legal capacity. Unless your Flight Confirmation says otherwise, we act as an indirect air carrier: we contract with you, and separately with the Operator, in our own name. We are not your agent or the Operator's agent unless the Flight Confirmation says so.

3.3 The Operator is in control. The Operator alone controls crew, maintenance, dispatch, safety, routing, weight and balance, delays, diversions and cancellations. The pilot in command has final authority over the safety of every flight, including refusing or removing a passenger. If an Operator must move a departure time, we will tell you promptly. If you do not accept the new time, Section 8 applies.

3.4 Operator standards. We book only Operators holding a current FAA Part 135 certificate (or the foreign equivalent for international trips) and the insurance the law requires. Our checks are not a guarantee of safety.

3.5 Our promises. Noble And Company LLC is a validly existing Texas limited liability company, has the authority to enter into these Terms, and will provide its services in a professional manner consistent with industry standards.

4.Booking

4.1 Quotes. A quote is not a booking, and it expires at the time shown on it (operators often hold a price for only 24 hours). Prices and aircraft are not held until you accept a Flight Confirmation, pay as required, and we receive the Carrier Commitment.

4.2 What the Flight Confirmation tells you. The Operator's full corporate name and every public or d/b/a name; its certificate details; our legal capacity; the aircraft type and, if known, tail number; the itinerary; the Trip Price (one total, including taxes); known Contingent Charges and direct-pay third-party fees, with amounts or good-faith estimates; the payment schedule; and our insurance disclosure (Section 12.2). If any of these is not shown on the Flight Confirmation, we will give it to you in writing before you pay, except as Section 4.4 allows. The cancellation terms for every trip are in the Noble Jets Cancellation Policy.

4.3 No false confirmations. We will never tell you an Operator, aircraft, flight or time is confirmed unless we hold a Carrier Commitment.

4.4 Information not yet known. If the Operator or other required information is not known when you book, we will give it to you within a reasonable time and early enough for you to make an informed decision. Everything will be disclosed before travel begins. If we do not do this, you may cancel the affected transportation and related services for a full refund, as 14 C.F.R. § 295.24 provides.

4.5 Operator or aircraft change. An Operator may substitute aircraft for safety or operational reasons, and we may arrange another qualified Operator or aircraft if needed. We will tell you promptly. Any replacement will be comparable to or better than the aircraft confirmed. If it costs more, you pay the difference only if you accept it in writing (Section 8.3). If no comparable aircraft is available and you decline the replacement, you get a full refund for that flight. If the change involves information we must disclose, your federal cancellation and refund rights also apply.

4.6 Passenger details. Send the full passenger list (legal name exactly as on government ID, date of birth, and nationality and passport details for international trips) at least 48 hours before Departure, or earlier if the Operator or the law requires.

4.7 Your safety requirements. Before booking, tell us any safety rating (for example, Wyvern or ARGUS), pilot experience or aircraft age that you or your company require. We will book only Operators that meet them. If you cancel later over a requirement you did not tell us about, it counts as your cancellation.

5.Price, taxes and extra charges

5.1 One clear price. The Trip Price covers everything known at booking: aircraft, crew, fuel, known landing, parking and repositioning costs, our compensation, and government taxes and fees.

5.2 Taxes. The Trip Price is one total that includes federal excise tax (currently 7.5%) and per-passenger segment fees. Noble Jets collects them and pays them to the IRS. On request, we will tell you the tax amounts included. International taxes and fees are included when known.

5.3 Contingent Charges. You pay these only if they actually happen, at the Operator's or vendor's actual cost: de-icing; hangar space needed for weather; waiting time, crew overnight or extra flight time caused by your schedule changes or delays; catering, ground transport, Wi-Fi or special equipment you request; international handling, permits and customs fees not known at booking; and damage, smoking, extra cleaning or undeclared pets. We will send you an itemized statement.

5.4 Our compensation. Our compensation is built into the Trip Price. We do not have to disclose the Operator's price to us unless the law requires it. On request, we will disclose the total cost of your trip as 14 C.F.R. § 295.24 provides.

6.Payment

6.1 Payment in full at acceptance. 100% of the Trip Price is due when you accept the Flight Confirmation. The aircraft is not secured until your payment is in place and the Operator confirms. A different schedule applies only if it is written on your Flight Confirmation.

6.2 No payment, no booking. We confirm and pay the Operator only after your wire clears, your card is authorized for the full amount, or your other agreed payment is received in full. If a payment is late, or a card hold or charge is declined, we may cancel the booking. That counts as your cancellation on the date the payment was due or declined, and Section 7 applies.

6.3 How to pay. Wire transfer, card through our secure payment page or invoice, or another method we agree to in writing. We may require a wire for any trip, including large or short-notice trips and trips where the Operator requires payment before it will hold the aircraft.

6.4 Card processing fee. Quoted prices are for wire. Card payments add the card processing fee shown on the payment page or invoice before you pay. That fee is not refunded, except when a trip can't fly through no fault of yours (Section 8) or card network rules require a refund.

6.5 Card on file. If you give us a card (including when you pay by wire), you authorize us to place a temporary hold on it and to charge it for Contingent Charges and any amount you owe under Section 7. We will email you an itemized receipt when we charge it.

6.6 Late payment. Overdue amounts carry interest at 1.5% per month, or the highest lawful rate if lower.

6.7 Wire fraud warning. We will never change our wire instructions by email or text. Before you send a wire, call us at (682) 375-6056 to confirm the details. We are not responsible for money sent to an account we did not confirm by phone.

7.If you cancel or change

7.1 One schedule for every trip. The Noble Jets Cancellation Policy applies to every trip, whatever the aircraft or Operator. It does not change if the Operator's own terms are different.

7.2 Standard Schedule (round-trip and multi-leg trips):

When we receive your cancellationWe keep (% of Trip Price)
Before the Operator commits0% (full refund)
After the Operator commits, more than 7 days before Departure25%
7 days or less, but more than 72 hours50%
72 hours or less, or a no-show100%

7.3 Trips that are 100% once the Operator commits. These replace the Standard Schedule, unless the law requires a refund:

7.4 Before the Operator commits. If you cancel before we receive the Carrier Commitment, we refund everything you paid.

7.5 How to cancel. Only you or an authorized booker may cancel, by email to fly@noblejets.net. Your cancellation counts when we receive it, by our email timestamp. Calls and texts do not count until you confirm by email.

7.6 Why these amounts are fair. Once an Operator commits, it holds the aircraft and crew for you and turns away other trips. Short-notice dates are hard to resell, and the loss is hard to predict at booking. You and we agree these amounts are a reasonable estimate of that loss and are not a penalty.

7.7 Savings passed to you. If the Operator resells the time, or waives or refunds part of its charge to us, we refund you what we actually recover, less our out-of-pocket costs. In that case we still keep at least 10% of the Trip Price. This section does not reduce any refund owed under Section 7.4 or Section 8.

7.8 Costs already spent. If you cancel, any costs the Operator has already spent on your trip for you (such as catering, de-icing, hangar or ground transport) are added to the cancellation charge, at the Operator's actual cost. The total we keep for a cancellation, including these costs, never exceeds 100% of the Trip Price plus any Contingent Charges you asked for and that were actually incurred.

7.9 Taxes on cancellations. Refunds include the federal excise tax on the refunded part. Tax on the part we keep is paid to the IRS and is not refunded.

7.10 Changes. Changes depend on Operator availability. You pay any added Operator cost. If the Operator treats a change (for example, a new date, departure airport or aircraft) as a cancellation, we treat it the same way and rebook you as a new trip. Changes requested inside 72 hours also carry a Noble Jets change fee of $500 per changed leg.

7.11 No-shows. If no passenger arrives within 30 minutes of the scheduled departure time, the pilot may depart, and the trip is treated as a cancellation inside 72 hours. A passenger refused boarding for missing ID or travel documents is not refunded.

8.If the trip can't fly

8.1 Refund if your trip can't fly. If the Operator or we cannot perform the trip for any reason other than your nonpayment or breach, and you do not accept a replacement, we refund what you paid for the transportation and related services not provided, within the times in Section 9.

8.2 Weather, mechanical and other events. Weather, air traffic control, mechanical problems, crew limits, government action and similar events outside anyone's control are not a breach by us. We will work to offer a replacement aircraft or a new time.

8.3 Replacement costs. If a replacement costs more, we will tell you the added amount first. You pay it only if you accept it in writing. If weather or air traffic control forces a diversion, any extra cost to complete the trip or return the aircraft is a Contingent Charge only if you agreed to it.

8.4 Empty legs. An empty leg depends on the Operator's main trip and can be changed or cancelled with little notice. If the Operator cancels it, your only remedy is a full refund of what you paid for that leg.

8.5 No other losses. We are not responsible for missed meetings, events, hotel or other travel costs caused by a delay or cancellation, to the extent the law allows.

9.Refunds

We refund to the original payment method. Card refunds are issued within 7 business days after the refund becomes due. Wire refunds are sent within 20 days after we receive your complete refund request.

10.Card disputes

10.1 Contact us first. If you question a charge, email fly@noblejets.net before contacting your card issuer. We reply within 1 business day and will work to resolve it within 10 business days.

10.2 Charges you agreed to. A charge these Terms allow stays owed even if you dispute it. If a dispute is decided in our favor, you also pay our reasonable collection costs. We will give your card issuer these Terms, your acceptance and the trip records. Nothing here limits your rights under federal credit card law.

11.Passengers

11.1 On the day. Arrive at least 30 minutes before departure (60 minutes for international). Bring valid government photo ID, passports and visas for international trips, and a consent letter for any minor traveling without both parents if the Operator requires one. You are responsible for every passenger's travel documents and any customs or immigration penalties.

11.2 Conduct. Passengers must follow the crew's instructions, the Operator's rules and the law. No illegal items, hazardous materials or unsafe behavior.

11.3 Weight and baggage. Give accurate passenger counts and bag weights. If a flight is delayed, changed or offloaded because the information was wrong, there is no refund, and you pay any added cost.

11.4 Firearms and hunting gear. Declare firearms and ammunition at booking. They fly only with Operator approval, unloaded and packed as the Operator, TSA and customs rules require. Undeclared items may be refused without refund.

11.5 Pets. Pets fly only with Operator approval and must be declared at booking. You handle health certificates and pay any cleaning fees.

11.6 Groups and guests. If you book for others, you are responsible for them and confirm they know these Terms. Seats may not be resold.

12.Insurance and liability

12.1 Operator insurance. Every Operator carries the liability insurance federal rules require. On request, we will get you its certificate of insurance before departure.

12.2 Our insurance. Noble Jets holds Professional Liability Policy No. PSP0040907917 (August 1, 2026 to August 1, 2027): USD 1,000,000 shared aggregate; Contingent Bodily Injury and Property Damage USD 1,000,000 each claim, including costs and expenses; USD 2,500 deductible; subject to all policy terms. It protects Noble Jets. It is not passenger, baggage, aircraft, travel or property insurance, and you and your passengers are not insureds under it.

12.3 Travel insurance. We recommend trip cancellation and interruption insurance. We do not sell it.

12.4 LIMIT OF LIABILITY. TO THE FULLEST EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT A TRIP OR THESE TERMS IS LIMITED TO THE TRIP PRICE YOU PAID FOR THAT TRIP. THIS LIMIT APPLIES EVEN IF THE CLAIM IS BASED ON OUR NEGLIGENCE. IT DOES NOT APPLY TO OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR TO LIABILITY THE LAW DOES NOT ALLOW US TO LIMIT.

12.5 NO INDIRECT DAMAGES. TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR LOST PROFITS OR LOST BUSINESS, OR FOR INDIRECT, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES.

12.6 Operator responsibility. Claims about the operation of the flight, including injury, death, baggage loss or delay, are against the Operator, subject to rights that cannot be waived. International trips may be governed by the Montreal or Warsaw Convention, which can limit the Operator's liability.

12.7 Indemnity. You will cover our losses, including reasonable attorney's fees, from (a) your or your passengers' breach, negligence or misconduct, or (b) false information about passengers, weights or documents. We will cover your losses from our gross negligence or willful misconduct as a broker, up to the limit in Section 12.4.

13.Confidentiality and privacy

13.1 Each side keeps the other's non-public pricing and business information confidential, except as the law requires.

13.2 We share passenger information only as needed to run your trip: with Operators, airports, government agencies and service providers. We use reasonable security to protect it.

13.3 Operators we introduce. For 12 months after your last trip with us, you will not book directly with an Operator we introduced to you without our written consent. If you do, you owe us a finder's fee of 10% of that charter's price.

14.Compliance

14.1 You confirm that no passenger is on a no-fly list or subject to U.S. or U.N. sanctions. If that is untrue, we may cancel at once, and any funds will be handled as the law requires.

14.2 Both sides will follow all applicable laws, including FAA, DOT (14 C.F.R. Part 295), TSA, customs, export-control and anti-money-laundering rules. You acknowledge that we may need to verify identities and may be required to report suspicious transactions to government authorities.

15.Disputes

15.1 Talk first. Either side gives written notice of a dispute, and we both try in good faith to settle it within 30 days.

15.2 Small claims. Either side may bring a claim in a Texas justice (small claims) court if it fits that court's limits.

15.3 Arbitration. Any other dispute is settled by binding arbitration with the American Arbitration Association, before one arbitrator, in Tarrant County, Texas (or by video). Its Consumer Rules apply if you booked personal travel as an individual; otherwise its Commercial Rules apply. The Federal Arbitration Act governs this section. A court may enter judgment on the award.

15.4 No class actions. Claims are brought only individually, never as a class or representative action.

15.5 Fees. The winning party, including in a collection action, recovers its reasonable attorney's fees and costs.

15.6 Texas law. Texas law governs these Terms, without regard to conflict-of-law rules, except where federal law applies.

16.General

16.1 Whole agreement. The Flight Confirmation, Cancellation Policy and these Terms are the entire agreement for each trip. Changes must be in writing and accepted by both sides.

16.2 Notices. Notices go by email: to us at fly@noblejets.net, and to you at the email you gave us for your booking.

16.3 Invalid parts. If any part of these Terms is invalid, it is limited to the minimum extent needed, and the rest stays in effect.

16.4 Assignment. You may not transfer a booking without our written consent. We may assign these Terms to a successor company with notice to you.

16.5 Surviving terms. Sections 5 through 10, 12, 13 and 15 survive the end of any trip, including a cancelled one, and the end of these Terms.

16.6 No third-party rights. Only you and Noble Jets have rights under these Terms. Passengers and Operators do not.

16.7 No waiver unless in writing. Headings are for convenience only.

16.8 Ending these Terms. Either side may end these Terms for future bookings by email. Trips already confirmed stay under them.

16.9 Our right to cancel for cause. We may cancel a booked trip at once, by email, if you or your passengers commit fraud, act illegally, give us materially false information, or do not fix a material breach of these Terms within 2 business days after our notice (or before Departure, if sooner). That counts as your cancellation and Section 7 applies, except where the law requires a refund.
